PREAMBULE :

Le présent Contrat de Licence est fournit par l’UTC en vue de protéger sa Suite Logicielle MEMORAe. La licence s’applique ici à un Composant de la Suite Logicielle MEMORAe.

La Suite Logicielle MEMORAe (ci-après « le Logiciel ») a été créée par Marie-Hélène Abel, chercheur au laboratoire Heudiasyc (UMR 6599) de l’Université de Technologie de Compiègne (ci-après « l’UTC »), Etablissement Public à caractère Scientifique, Culturel et Professionnel, rue Roger Couttolenc, BP 60 319 – 60 203 COMPIEGNE Cedex.

ARTICLE PRELIMINAIRE : DEFINITIONS

« Code Source » : désigne le langage informatique intelligible par l’homme, lui permettant d’écrire les différentes fonctionnalités du Logiciel.

« Code Compilé » : désigne le code traduit lors de la phase de compilation, de façon à être intelligible pour la machine, et permettre à cette dernière d’exécuter le programme.

« Composant» ou « Composant Originel »: désigne un sous-ensemble de la Suite Logicielle MEMORAe, qui a un rôle applicatif et qui est téléchargée sur le site de la Suite Logicielle MEMORAe.

« Composant Modifié » : Composant Originel modifiée par le licencié.

« Composant d'un licencié » : composant entièrement développée par le licencié.

« Contrat » : Le présent Contrat de licence, ses éventuelles versions postérieures.

« Concédant » : désigne l’UTC en tant que personne morale détenant les droits du Logiciel.

« Licencié » : désigne le ou les utilisateurs du Composant ayant accepté le Contrat.

« Logiciel » : la Suite Logicielle MEMORAe telle que déposée à l’Agence de Protection des Programmes, disponible sur le site web suivant : http://www.hds.utc.fr/memorae/

« Parties » : désigne l’UTC, en tant que Concédant, et le Licencié du présent Contrat de licence.

“Utilisation et Exploitation à des fins industrielles et commerciales » : tout acte de transfert, de cession ou de licence de droit de propriété intellectuelle, toute utilisation directe ou indirecte de tout ou partie du Logiciel ou du Composant, que celui-ci soit utilisé sous leur forme d'origine ou sous une forme dérivée, et visant : soit la distribution directe ou indirecte, à titre onéreux ou gratuit, de ce Composant et/ou du Logiciel, ou de produits ou services les utilisant, les intégrant ou conçus grâce à celui-ci, soit une exploitation interne pour les besoins propres de fonctionnement ou de production du bénéficiaire (tel que déploiement, etc…)

Ces termes s’entendent au singulier comme au pluriel.

ARTICLE 1 : OBJET

Par ce Contrat de licence non-exclusif et mondial, l’UTC concède au Licencié le droit d’utiliser le Composant selon les termes et conditions précisées ci-dessous.

ARTICLE 2 : ACCEPTATION

2.1 L’acceptation par le Licencié des termes du Contrat est réputée acquise du fait du premier des faits suivants :

  • le chargement du Composant par tout moyen ;
  • le premier exercice par le Licencié de l’un quelconque des droits concédés par le Contrat ;
  • la signature du présent Contrat par les Parties.

2.2 Un exemplaire du Contrat a été mis à disposition du Licencié, préalablement à son acceptation telle que définie à l’article 2.1 ci-dessus et le Licencié reconnaît en avoir pris connaissance.

ARTICLE 3 : ENTREE EN VIGUEUR ET DUREE

3.1 Le Contrat entre en vigueur à la date de son acceptation par le Licencié telle que définie en 2.1.

3.2 Le Contrat produira ses effets pour toute la durée légale de protection des droits patrimoniaux portant sur le Logiciel.

ARTICLE 4 : ETENDUE DES DROITS CONCEDES

Par ce Contrat de Licence, l’UTC concède au Licencié les droits suivants :

  • le droit de copier le Composant pour en faire une copie de sauvegarde. Le

Licencié souhaitant reproduire le Composant à d’autres fins que celles énoncées ci-dessous s’engage à obtenir préalablement l’accord de l’UTC, conformément à l’article 14 du présent Contrat.

  • le droit d’adapter le Composant ;
  • le chargement, l’affichage, l’exécution, ou le stockage du Composant sur tout support ;
  • Le Licencié n’est pas autorisé à apporter des modifications au Composant livré

en Code Composé. Les seules modifications autorisées sont celles relatives aux Composants livrées en Code Source. Le droit de modification comporte le droit de traduire, d’adapter, d’arranger ou d’apporter toute autre modification aux Composants Initiaux livrées en Code Source et le droit de reproduire lesdits Composants Initiaux Modifiées en résultant.

  • Le Licencié n’est pas autorisé à distribuer des copies du Composant à des

tiers, ni de diffuser, de transmettre et de communiquer ledit Composant au public sur tout support et par tout moyen ou de mettre sur le marché à titre gratuit ou onéreux le Composant, ou un des exemplaires du Composant par tout procédé.

Dans le cas où la création des Composants Modifiés ont nécessité une modification du code source, le Licencié s’engage à ce que :

  • Le Composant Modifié soit régie par le présent Contrat ;
  • Le Composant Modifié soit clairement identifié et documenté ;
  • Le Licencié permette un accès effectif au code source du Composant Modifié,

pendant au moins toute la durée de la distribution du Composant Modifié, de telle sorte que ces modifications puissent être reprises dans une version ultérieure du Composant, étant entendu que le coût additionnel d’acquisition du code source du Composant Modifié ne devra pas excéder le simple coût du transfert des données.

Les droits conférés par le présent Contrat de Licence sont consentis à des fins de recherche, d’éducation, de tests et d’évaluation, à l’exclusion de toute Utilisation et Exploitation à des fins industrielles et/ou commerciales.

Toute Utilisation à des fins industrielles et/ou commerciales, telle que définie dans l’article « Définition », est soumise à une autorisation expresse préalable de l’UTC, conformément à l’article 14 du présent Contrat. Les conditions d’obtention d’une licence commerciale seront négociées au cas par cas entre les Parties.

ARTICLE 5 - PROPRIETE INTELLECTUELLE

5.1 SUR LE COMPOSANT ORIGINEL

L’UTC est détenteur des droits patrimoniaux sur le Composant Originel. Toute utilisation du Composant Originel est soumise au respect des conditions dans lesquelles l’UTC a choisi de diffuser son œuvre et nul autre n'a la faculté de modifier les conditions de diffusion de ce Composant Originel.

L’UTC s'engage à ce que le Composant Originel reste au moins régi par le Contrat et ce, pour la durée visée à l'article 3.2.

5.2 SUR LES COMPOSANTS MODIFIES

Le Licencié qui a développé un Composant Modifiée et/ou un Composant du Licencié est titulaire sur celui-ci des droits de propriété intellectuelle dans les conditions définies par la législation applicable.

ARTICLE 6 - MENTIONS DES DROITS

Le Licencié s'engage expressément:

  • à ne pas supprimer ou modifier de quelque manière que ce soit les mentions de

propriété intellectuelle apposées sur le Composant;

  • à reproduire à l'identique lesdites mentions de propriété intellectuelle sur

les copies du Composant et sur les Composants Modifiées ou non ;

  • à faire en sorte que l'utilisation du Composant, ses mentions de propriété

intellectuelle et le fait qu'il soit régi par le Contrat soient indiqués clairement dans un texte facilement accessible.

Le Licencié s'engage à ne pas porter atteinte, directement ou indirectement, aux droits de propriété intellectuelle de l’UTC et/ou des Contributeurs sur le Composant et à prendre, le cas échéant, à l'égard de son personnel toutes les mesures nécessaires pour assurer le respect des dits droits de propriété intellectuelle de l’UTC et/ou des Contributeurs.

ARTICLE 7 – RESPONSABILITE

7.1 Sous réserve des dispositions de l'article 7.2, le Licencié a la faculté de prouver la faute du Concédant, de solliciter la réparation du préjudice direct qu'il subirait du fait du Composant et dont il apportera la preuve.

7.2 La responsabilité du Concédant est limitée aux engagements pris en application du Contrat et ne saurait être engagée en raison notamment:

  • des dommages dus à l'inexécution, totale ou partielle, de ses obligations par

le Licencié ;

  • des dommages directs ou indirects découlant de l'utilisation

ou des performances du Composant subis par le Licencié ;

  • et plus généralement d'un quelconque dommage indirect.

En particulier, les Parties conviennent expressément que tout préjudice financier ou commercial (par exemple perte de données, perte de bénéfices, perte d'exploitation, perte de clientèle ou de commandes, manque à gagner, trouble commercial quelconque) ou toute action dirigée contre le Licencié par un tiers, constitue un dommage indirect et n'ouvre pas droit à réparation par le Concédant.

ARTICLE 8 - SERVICES ASSOCIES

Le Contrat n'oblige en aucun cas le Concédant à la réalisation de prestations d'assistance technique ou de maintenance du Composant. Cependant le Concédant reste libre de proposer ce type de services. Les termes et conditions d'une telle assistance technique et/ou d'une telle maintenance seront alors déterminés dans un acte séparé. Ces actes de maintenance et/ou assistance technique n'engageront que la seule responsabilité du Concédant qui les propose.

Il relève de la responsabilité du Licencié de contrôler, par tous moyens, l'adéquation du produit à ses besoins, son bon fonctionnement et de s'assurer qu'il ne causera pas de dommages aux personnes et aux biens. En particulier, le Concédant ne garantit pas que le Composant est exempt d'erreur, qu'il fonctionnera sans interruption, qu'il sera compatible avec l'équipement du Licencié et sa configuration logicielle ni qu'il remplira les besoins du Licencié.

ARTICLE 9 – GARANTIE

9.1 Le Licencié reconnaît que le Concédant ne garantit pas l'absence d'éventuels défauts. L'attention du Licencié a été attirée sur ce point sur les risques associés au chargement, à l'utilisation, la modification et/ou au développement et à la reproduction du Composant qui sont réservés à des utilisateurs avertis.

En particulier, le Concédant ne garantit pas que le Composant est exempt d’erreur, qu’il fonctionnera sans interruption, qu’il sera compatible avec l’équipement du Licencié et sa configuration logicielle ni qu’il remplira les besoins du Licencié. Il relève de la responsabilité du Licencié de contrôler, par tous moyens, l’adéquation du produit à ses besoins, son bon fonctionnement, et de s’assurer qu’il ne causera pas de dommages aux personnes et aux biens.

9.2 Le Concédant déclare de bonne foi être en droit de concéder l'ensemble des droits attachés au Composant (comprenant notamment les droits visés à l'article 4).

9.3 Le Concédant ne garantit pas, de manière expresse ou tacite, que le Composant ne porte pas atteinte à un quelconque droit de propriété intellectuelle d'un tiers portant sur un brevet, un logiciel ou sur tout autre droit de propriété. Ainsi, le Concédant exclut toute garantie au profit du Licencié contre les actions en contrefaçon qui pourraient être diligentées au titre de l'utilisation, de la modification, et de la redistribution du Composant. Le Concédant dégage toute responsabilité quant à l'utilisation de la dénomination du Logiciel par le Licencié. Aucune garantie n'est apportée quant à l'existence de droits antérieurs sur le nom du Logiciel et sur l'existence d'une marque.

ARTICLE 10 – RESILIATION

10.1 En cas de manquement par le Licencié aux obligations mises à sa charge par le Contrat, le Concédant pourra résilier de plein droit le Contrat trente (30) jours après notification adressée au Licencié et restée sans effet.

10.2 Le Licencié dont le Contrat est résilié n'est plus autorisé à utiliser, modifier ou distribuer le Composant. Cependant, toutes les licences qu'il aura concédées antérieurement à la résiliation du Contrat resteront valides sous réserve qu'elles aient été effectuées en conformité avec le Contrat.

ARTICLE 11 - DISPOSITIONS DIVERSES

11.1 Le Contrat annule et remplace toute convention et/ou licence antérieure, écrite ou orale, entre les Parties sur le même objet et constitue l'accord entier entre les Parties sur cet objet. Aucune addition ou modification aux termes du Contrat n'aura d'effet à l'égard des Parties à moins d'être faite par écrit et signée par leurs représentants dûment habilités.

11.2 Dans l'hypothèse où une ou plusieurs des dispositions du Contrat s'avèrerait contraire à une loi ou à un texte applicable, existants ou futurs, cette loi ou ce texte prévaudrait, et les Parties feraient les amendements nécessaires pour se conformer à cette loi ou à ce texte. Toutes les autres dispositions resteront en vigueur. De même, la nullité, pour quelque raison que ce soit, d'une des dispositions du Contrat ne saurait entraîner la nullité de l'ensemble du Contrat.

11.3 Le Contrat est rédigé en langue française et en langue anglaise. En cas de différence entre la version anglaise et la version française, la version française prévaut.

ARTICLE 12 - NOUVELLES VERSIONS DU CONTRAT

12.1 Toute personne est autorisée à copier et distribuer des copies de ce Contrat, en mentionnant son origine (UTC).

12.2 Tout Logiciel et/ou Composant diffusé sous une version donnée du Contrat ne pourra faire l’objet d’une diffusion ultérieure que sous la même version du Contrat ou une version postérieure.

ARTICLE 13 - LOI APPLICABLE ET COMPETENCE TERRITORIALE

13.1 Le Contrat est régi par la loi française. Les Parties conviennent de tenter de régler à l'amiable les différends ou litiges qui viendraient à se produire par suite ou à l'occasion du Contrat.

13.2 A défaut d'accord amiable dans un délai de trois (3) mois à compter de leur survenance et sauf situation relevant d'une procédure d'urgence, les différends ou litiges seront portés par la Partie la plus diligente devant les Tribunaux compétents.

ARTICLE 14 – COMMUNICATION

Toute demande relative au présent Contrat, notamment les demandes d’autorisation préalable, devront être adressées par écrit aux contacts indiqués sur le site web suivant : http://www.hds.utc.fr/memorae/

Le présent Contrat de licence comprend quatorze (14) articles.

PREAMBLE:

This license is provided by UTC to protect its MEMORAe Software Suite. It applies here to protect a Component of the MEMORAe Software Suite.

The MEMORAe Software Suite (hereinafter referred to as “the Software”) has been designed and produced by Marie-Hélène Abel, a researcher of Heudiasyc Laboratory, University of Technology of Compiègne (hereinafter “UTC”), rue Roger Couttolenc, BP 60 319 – 60 203 COMPIEGNE Cedex.

This Software is © copyright UTC - 2010 UTC holds all the ownership on the Software.

PRELIMINARY : DEFINITIONS

“Source Code”: means any collection of statements or declarations written in some human-readable computer programming language.

“Object code” : means a code which can be understood directly by a central processing unit.

“Component” or “Initial Component”: means a part of the MEMORAe Software Suite which has an application role.

“Modified Component”: Initial Component modified by the Licensee.

“Licensee’s Component”: Component entirely developed by the Licensee.

“Agreement” means this license Agreement and its possible subsequent versions.

“Licensor”: means UTC as body corporate detaining rights on the Software.

“Licensee”: means the Component user(s) having accepted the Agreement.

“Software” : means the MEMORAe Software Suite Software such as the Software has been registered at the Agency for the Protection of Programmes (APP), available at: http://www.hds.utc.fr/memorae/

“Parties”: means both UTC, as the Licensor, and the Licensee.

These expressions may be used in singular and plural form.

English Version

ARTICLE 1 : PURPOSE

Under this non-exclusive and worldwide License Agreement, UTC grants to Licensee the right to use the Component according to the terms and conditions specified below.

ARTICLE2 : ACCEPTANCE

2.1 The Licensee shall be deemed as having accepted the terms and conditions of this Agreement upon the occurrence of the first of the following events :

- loading the Component by any or all means;

- the first time the Licensee exercises any of the rights granted hereunder;

- the signature of the Contract by the Parties.

2.2 One copy of the Agreement has been provided to the Licensee, prior to its acceptance as set forth in ARTICLE 2.1 hereinabove, and the Licensee hereby acknowledges that it has read and understood it.

ARTICLE 3 : EFFECTIVE DATE AND TERM

3.1 The Agreement shall become effective on the date when it is accepted by the Licensee as set forth in ARTICLE 2.1.

3.2 The Agreement shall remain in force for the entire legal term of protection of the economic rights over the Software.

ARTICLE 4 : SCOPE OF RIGHTS GRANTED

UTC hereby grants to the Licensee, who accepts, the following rights:

- the right to make a back-up copy to protect the use of the Component. In the

event  that  the  Licensee wishes  to  back-up  copy  for other  purposes,  it
recognizes that  this action requires  the express and prior  authorization of
UTC, in accordance with the article 14 of the Agreement.

- the right to adapt the Component;

- loading, displaying, running, or storing the Component on any or all medium;

- The Licensee is not authorized to make any or all modifications to the

Component delivered  in Object  Code. The only  ones are those  concerning the
Components delivered  in Source Code.  The right of modification  includes the
right to  translate, adapt, arrange, or  make any or all  modifications to the
Initial Components  delivered in Source Code,  and the right  to reproduce the
resulting Modified Initial Component.

- The Licensee is not authorized to distribute copies of the Component to third

parties, publish, transmit and communicate  the Component to the public on any
or all  medium, and by any  or all means, and  the right to  market, either in
consideration of a fee, or free of charge, one or more copies of the Component
by any means.

In the event that the production of Modified Component has involved a modification of the Source Code, the Licensee undertakes that:

- the Modified Component will be governed by the Agreement;

- the Modified Component will be clearly identified and documented;

- the Licensee will allow effective access to the Source Code of the Modified

Component,  at a  minimum  during the  entire  period of  distribution of  the
Modified  Component, such that  such modifications  may be  carried over  in a
subsequent version of  the Component, it being understood  that the additional
cost of purchasing the source code  of the Modified Component shall not exceed
the cost of transferring the data.

This Agreement is entered into for academic and research purposes, test and evaluation, excluding any direct or indirect commercial use and profit-making.

In the event that the Licensee wishes to use the Component for Utilization for Commercial and/or Industrialization use, it recognizes that this action requires the express and prior authorization of UTC, in accordance with article 14. The terms of obtaining a commercial license have to be negotiated between the Parties, on case by case bases.

ARTICLE 5 - INTELLECTUAL PROPERTY

5.1 OVER THE INITIAL COMPONENT

UTC owns the economic rights over the Initial Component. Any or all use of the Component is subject to compliance with the terms and conditions under which UTC has elected to distribute its work and no one shall be entitled to modify the terms and conditions for the distribution of said Initial Component.

UTC undertakes that the Initial Component will remain ruled at least by this Agreement, for the duration set forth in ARTICLE 3.2. 5.2 OVER THE MODIFIED COMPONENTS The Licensee who develops a Modified Component and/or a Licensee’s Component is the owner of the intellectual property rights over this Contribution as defined by applicable law.

ARTICLE 6 - NOTICE OF RIGHTS

The Licensee expressly undertakes :

- not to remove, or modify, in any manner, the intellectual property notices

attached to the Component;

- to reproduce said notices, in an identical manner, in the copies of the

Component modified or not;

- to ensure that use of the Component, its intellectual property notices and the

fact that  it is  governed by  the Agreement is  indicated in  a text  that is
easily accessible.

The Licensee undertakes not to directly or indirectly infringe the intellectual property rights of UTC and/or Contributors on the Component and to take, where applicable, towards its staff, any or all measures required to ensure respect of said intellectual property rights of UTC and/or Contributors.

ARTICLE 7 – LIABILITY

7.1 Subject to the provisions of ARTICLE 7.2, the Licensee shall be entitled to claim compensation for any direct lose it may suffered from the Component as a result of a fault on the part of the relevant licensor, subject to providing evidence thereof.

7.2 The Licensor's liability is limited to the commitments made under this Agreement and shall not be incurred as a result of in particular:

- loss due the Licensee's total or partial failure to fulfill its obligations; - direct or consequential loss that is suffered by the Licensee due to the use

or performance of the Component,

- and more generally, any consequential loss. In particular the Parties

expressly agree that any or all pecuniary or business loss (i.e. loss of data,
loss  of profits,  operating loss,  loss of  customers or  orders, opportunity
cost, any disturbance to business  activities) or any or all legal proceedings
instituted  against   the  Licensee  by   a  third  party,   shall  constitute
consequential  loss  and   shall  not  provide  entitlement  to   any  or  all
compensation from the Licensor.

ARTICLE 8 - RELATED SERVICES

Under no circumstances shall the Agreement oblige the Licensor to provide technical assistance or maintenance services for the Component. However, the Licensor is entitled to offer this type of services. The terms and conditions of such technical assistance, and/or such maintenance, shall be set forth in a separate instrument. Only the Licensor offering said maintenance and/or technical assistance services shall incur liability therefor. The Licensee shall be responsible for verifying, by any or all means, the suitability of the product for its requirements, its good working order, and for ensuring that it shall not cause damage to either persons or properties. Specifically, the Licensor does not warrant that the Component is free from any error, that it will operate without interruption, that it will be compatible with the Licensee’s own equipment and software configuration, nor that it will meet the Licensee’s requirements.

ARTICLE 9 –WARRANTY

9.1 The Licensee acknowledges that the Licensor does not warrant possible defects. In this respect, the Licensee's attention has been drawn to the risks associated with loading, using, modifying and/or developing and reproducing the Component which are reserved for experienced users. Specifically, the Licensor does not warrant that the Component is free from any error, that it will operate without interruption, that it will be compatible with the Licensee's own equipment and software configuration, nor that it will meet the Licensee's requirements.

The Licensee shall be responsible for verifying, by any or all means, the suitability of the product for its requirements, its good working order, and for ensuring that it shall not cause damage to either persons or properties.

9.2 The Licensor hereby represents, in good faith, that it is entitled to grant all the rights over the Software (including in particular the rights set forth in ARTICLE 4).

9.3 The Licensor does not either expressly or tacitly warrant that the Component does not infringe any third party intellectual property right relating to a patent, software or any other property right. Therefore, the Licensor disclaims any and all liability towards the Licensee arising out of any or all proceedings for infringement that may be instituted in respect of the use, modification and redistribution of the Component. The Licensor disclaims any and all liability as regards the Licensee's use of the name of the Component. No warranty is given as regards the existence of prior rights over the name of the Component or as regards the existence of a trademark.

ARTICLE 10 – TERMINATION

10.1 In the event of a breach by the Licensee of its obligations hereunder, the Licensor may automatically terminate this Agreement thirty (30) days after notice has been sent to the Licensee and has remained ineffective.

10.2 A Licensee whose Agreement is terminated shall no longer be authorized to use, modify or distribute the Component. However, any licenses that it may have granted prior to termination of the Agreement shall remain valid subject to their having been granted in compliance with the terms and conditions hereof.

ARTICLE 11 - MISCELLANEOUS

11.1 The Agreement cancels and replaces any or all previous agreements and/or License, whether written or oral, between the Parties and having the same purpose, and constitutes the entirety of the agreement between said Parties concerning said purpose. No supplement or modification to the terms and conditions hereof shall be effective as between the Parties unless it is made in writing and signed by their duly authorized representatives.

11.2 In the event that one or more of the provisions hereof were to conflict with a current or future applicable act or legislative text, said act or legislative text shall prevail, and the Parties shall make the necessary amendments so as to comply with said act or legislative text. All other provisions shall remain effective. Similarly, invalidity of a provision of the Agreement, for any reason whatsoever, shall not cause the Agreement as a whole to be invalid.

11.3 The Agreement is drafted in both French and English. In case of differences between the French version and the English version, the French version prevails.

ARTICLE 12 - NEW VERSION OF THE AGREEMENT

12.1 Any person is authorized to duplicate and distribute copies of this Agreement.

12.2 Any Software distributed under a given version of the Agreement may only be subsequently distributed under the same version of the Agreement or a subsequent version.

ARTICLE 13 - GOVERNING LAW AND JURISDICTION

13.1 The Agreement is governed by French law. The Parties agree to endeavor to seek an amicable solution to any disagreements or disputes that may arise during the performance of the Agreement.

13.2 Failing an amicable solution within three (3) months as from their occurrence, and unless emergency proceedings are necessary, the disagreements or disputes shall be referred to the Courts having jurisdiction, by the more diligent Party.

ARTICLE 14 –COMMUNICATION

The Agreement includes fourteen (14) articles.
